The commercial agreement between us.

These Terms & Conditions set out the contract between you and UtilitySEO Ltd (trading as ember) when you sign up for and pay for our service. Please read them carefully, by creating an account you agree to be bound by them.

Who we are

ember is a product of UtilitySEO Ltd, a company registered in England and Wales (Company No. 17055142). Our registered office is 4 Frances Street, Cheadle, SK8 2AE.

Accepting these terms

By signing up, clicking "I agree", or using ember, you confirm that you've read and agree to these Terms & Conditions, our Terms of Service, Acceptable Use Policy, and Privacy Policy. Together these form the full agreement between you and us.

If you're signing up on behalf of a business, you confirm you have authority to bind that business to this agreement.

What ember does

ember is a social media planning tool. It lets you draft, schedule, and publish posts to connected social platforms, view analytics, collaborate with a team, and use AI-assisted content tools.

The exact feature set may change over time as we add, improve, or remove features. Major changes will be communicated in advance where practical.

Your account

You need an account to use ember. You must provide accurate information when signing up and keep your login credentials secure. You're responsible for everything that happens under your account.

Pricing, billing and payments

Plans

  • Free, up to 2 connected channels and 1 scheduled post per day, forever, no card required
  • Paid, £48/month, or £38/month when billed annually (a 20% saving), with unlimited channels and posts

Billing

Payments are processed by Stripe. Paid plans renew automatically at the end of each billing cycle using your stored payment method until you cancel. All prices are in GBP and exclusive of VAT where applicable.

Price changes

We'll give you at least 30 days' notice by email before any price increase. If you don't agree, you can cancel before the new price takes effect.

Failed payments

If a renewal fails, we'll retry over a few days. If payment remains unpaid, your paid features may be paused until it's settled.

Free trial

We may offer a 14-day free trial of our paid plan. You can cancel any time during the trial and you won't be charged. If you don't cancel, the trial converts automatically into a paid subscription at the end of the 14 days.

We'll send a reminder email 3 days before the trial ends.

Refunds

We offer a 14-day money-back guarantee on your first paid month. If ember isn't right for you, email us within 14 days of your first charge and we'll refund that payment in full.

If you downgrade from annual to monthly or to free mid-term, we'll refund the unused portion on a pro-rata basis. Refunds are sent back to the original payment method within 5-10 working days.

Cancellation and termination

You can cancel your paid plan any time from your account settings. Cancellation takes effect at the end of your current billing cycle, you keep paid features until then.

We may suspend or terminate your account if you breach these terms, our Acceptable Use Policy, or fail to pay. Where reasonable, we'll give notice and a chance to put things right first.

Intellectual property

Your content is yours. You keep all rights to the posts, images, captions and other content you create or upload. We only use it to provide the service to you.

Our platform is ours. The ember software, brand, designs, and documentation are owned by UtilitySEO Ltd and protected by UK and international copyright and trade mark law. You get a limited, non-transferable licence to use ember for the duration of your subscription.

Limitation of liability

ember is provided "as is" and "as available". To the fullest extent permitted by law, we're not liable for indirect, incidental, consequential, or special losses, including lost profits, lost revenue, lost data, or reputational damage.

Our total aggregate liability to you for any claim arising out of or relating to ember is capped at the total fees you've paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be excluded under English law.

Indemnity

You agree to indemnify and hold UtilitySEO Ltd harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising from your misuse of ember, your content, or your breach of these terms or of the third-party platforms you connect.

Governing law and jurisdiction

These terms are governed by the laws of England and Wales. Any disputes will be settled exclusively by the courts of England and Wales, except where local consumer-protection law gives you a right to use the courts of your country of residence.

Changes to these terms

We may update these terms occasionally. Material changes will be announced by email and on this page at least 30 days before they take effect. Continuing to use ember after the change means you accept the new terms.
